Top 3 new policies forecasted to have a big impact on the real estate market in 2023

1. Decree No. 44/2022/NĐ-CP

Decree No. 44/2022/NĐ-CP stipulates the provision of online public information and services by State agencies in the network environment. This Decree was issued on June 24th, 2022 and took effect from August 15th, 2022 with notable new points:

• Specifying the use of housing market data information

• Require the investor to provide information about the project and real estate transactions to the Department of Construction

• Require the disclosure of legal documents for real estate projects

• Require to disclose information about the housing market

Regarding regulations on the use of housing market data, the Decree specifies the form of exploitation and use of databases on housing and real estate market, including: online data from the portal of information system on housing and real estate market or through the portal of Construction Departments.

Article 18 of Decree No. 44/ND-CP also requires real estate project investors to provide information and data about the project, eligible products for transactions and real estate transactions to the Construction Department according to Form No. 10 (in each reporting period). Note:

- The declaration information, data about the project, the structure of the real estate type of the project should be done before the notice of commencement of construction or before being granted a construction permit to carry out the project (if any).

- Các thông tin kê khai về bất động sản đủ điều kiện giao dịch, đăng tải văn bản thông báo của Sở Xây dựng về việc nhà ở đủ điều kiện được bán, cho thuê nhà ở hình thành trong tương lai phải được thực hiện trước khi chủ đầu tư đưa sản phẩm trong dự án ra giao dịch.

Các biểu mẫu kê khai, cung cấp thông tin gồm:

+ Biểu mẫu số 11: trong trường hợp chuyển nhượng toàn bộ hoặc một phần dự án và phải điều chỉnh, sửa đổi lại thông tin, dữ liệu về dự án.

+ Biểu mẫu số 12: trong trường hợp kê khai, cung cấp thông tin, dữ liệu về tình hình giao dịch bất động sản của dự án.

+ Biểu mẫu số 13: trường hợp sàn giao dịch cung cấp thông tin, dữ liệu.

Các biểu mẫu kê khai, cung cấp dữ liệu, thông tin nói trên phải gửi về Sở Xây dựng nơi có bất động sản phát sinh giao dịch.

For requests to publicize information about the housing market, the address to receive the sharing, provision of information and data is the Portal of the housing and real estate market information system. Việc thực hiện cung cấp thông tin sẽ theo các biểu mẫu quy định tại Phụ lục ban hành kèm theo Nghị định.

Thus, Decree 44/2022/ND-CP will contribute to the transparency of real estate market information, helping management agencies to participate in market regulation, project legal control, helping home buyers database of information and data about the project, avoiding cases of purchasing project products that are not eligible for sale. Đây cũng sẽ là những cơ sở tạo niềm tin cho người mua nhà, giúp thị trường bất động sản phát triển lành mạnh và bền vững hơn.

2. Nghị Quyết 18-NQ/TW Về Đất Đai

Nghị quyết 18-NQ/TW về "Tiếp tục đổi mới, hoàn thiện thể chế, chính sách, nâng cao hiệu lực, hiệu quả quản lý và sử dụng đất, tạo động lực đưa nước ta trở thành nước phát triển có thu nhập cao" được Ban Chấp hành Trung ương ban hành vào Ngày 16/6/2022. Nghị quyết này có những điểm mới về chính sách đất đai đáng lưu ý, bao gồm:

• Completing amendments to the 2013 Land Law and other relevant laws to 2025, with a vision to 2030

• Bỏ khung giá đất, có phương pháp xác định giá đất theo nguyên tắc thị trường

• Người sở hữu nhiều nhà, đất sẽ đánh thuế cao hơn

• Land allocation and land lease mainly through auction of land use rights, bidding for projects using land

• Religious establishments that use land for other purposes must pay land rent according to regulations

• Người dân bị thu hồi đất sẽ có quy định cụ thể về bồi thường, hỗ trợ tái định cư

• Expanding subjects and limits for receiving transfer of agricultural land use rights

• Regulations on land use regime for construction of aerial works, underground works, land formed from sea reclamation activities

With the above new points, Resolution No. 18 aims to harmonize the interests of the people, investors and the State in the management and use of land, reduce negative land use and minimize waste; reduce disputes, complaints and lawsuits related to land; land will be used more efficiently and sustainably, thereby contributing to the socio-economic development of the country.

Resolution No. 18 helps people's rights to be more secure, land use more flexible, continues to implement the self-agreement mechanism between people and businesses in transferring land use rights to implement urban, commercial housing projects.

The resolution also helps investors to know clearly the cases where it is necessary to auction land or bid for projects using land, thereby being more active in production and business; can pay annual land rent or pay one-off land rent for the whole lease period; được tiếp cận đất đai linh hoạt hơn dưới tác động của chính sách mở rộng hạn mức và đối tượng nhận chuyển nhượng quyền sử dụng đất nông nghiệp và thị trường cho thuê đất nông nghiệp được phát triển.

In addition, investors can reduce land use costs when administrative procedures for land are improved; inspection, examination, supervision and handling of violations are renewed and strengthened; kỷ luật, kỷ cương, phòng chống tham nhũng được siết chặt; nguồn lực đất đai cho sản xuất và kinh doanh được giải phóng khi những khó khăn, vướng mắc trong quản lý và sử dụng đất được xử lý triệt để và tình trạng đầu cơ đất đai, không đưa đất vào sử dụng được hạn chế do có các chế tài cụ thể và đủ mạnh được đưa ra.

3. Nghị Định 65/2022/ND-CP

Nghị định 65/2022/NĐ-CP được Chính phủ ban hành vào ngày 16/9/2022 nhằm sửa đổi bổ sung Nghị định 153 về chào bán trái phiếu riêng lẻ (Nghị định 65). Những điểm mới của Nghị định 65 chủ yếu liên quan đến các đối tượng tham gia vào thị trường, cụ thể:

• Raising the standard of professional investors

• Tăng cường minh bạch thông tin, đảm bảo quyền lợi cho nhà đầu tư

• Stricter requirements on offering documents and issuance methods

• Xếp hạng tín nhiệm bắt buộc trong trường hợp cụ thể

According to experts, the new points of Decree 65/2022/ND-CP aim to increase the responsibility of investors when buying corporate bonds, such as investors having to read the information disclosure statement and self-sign to certify the fully receive the information announced by the enterprise; at the same time, understand the law and take responsibility for the investment in corporate bonds….

In addition, the provisions of the Decree are also made stricter, such as: investors will not be able to participate in contracts to jointly invest in bonds offered for sale by other professional investors.
